Welcome to MiaoYin! These Terms of Service ("Terms") govern your use of the MiaoYin platform and services. By accessing or using our services, you agree to be bound by these Terms.

MiaoYin is an AI-powered music creation platform providing the following services:
- AI Music Workshop: Generate original music using AI technology
- Chinese-Style Music: Create music with traditional Chinese elements
- Dialect Music: Support music creation in Cantonese, Taiwanese, Sichuan dialect, etc.
- Stem Separation: Separate music into vocals, instruments, and other tracks
- Sheet Music Generation: Automatically analyze music and generate sheet music
- Music Marketplace: Platform for users to publish, trade, and purchase music works
- You must be at least 18 years old to register an account
- You must provide accurate, complete, and current information
- Each person may only have one account
- You may not impersonate others or falsely state relationships with others
- You are responsible for protecting your account password
- You are responsible for all activities under your account
- Notify us immediately if you discover unauthorized use
- We are not responsible for losses due to your failure to protect your account
- You may cancel your account at any time
- We may suspend or terminate your account for Terms violations
- Data will be processed according to the Privacy Policy after account termination
- New users receive 50 free credits upon registration
- Credits are used for music generation, music purchases, and other services
- Credits cannot be exchanged for cash or transferred to others
- Unused credits are valid permanently
- We offer multiple subscription plans (Basic, Standard, etc.)
- Subscription fees are clearly displayed at checkout
- Subscriptions auto-renew; you can cancel anytime
- Canceling subscription does not affect purchased credits
- Subscription fees: Full refund available within 7 days if no services used
- Credit recharge: Used credits are non-refundable
- Music purchases: No refunds after download due to digital nature of goods
- You Retain Ownership: Music works you create or upload belong to you
- License Grant: You grant MiaoYin a non-exclusive, worldwide, royalty-free license to store, process, and display your content
- Responsibility Statement: You ensure uploaded content does not infringe others' intellectual property
- Music generated through MiaoYin AI tools belongs to you
- You may freely use, modify, and sell AI-generated music
- You acknowledge that AI-generated music may be similar to music generated by other users
When publishing works in the music marketplace:
- You declare ownership of complete rights to the work
- You agree to grant purchasers corresponding usage licenses
- You promise the work does not infringe any third-party rights
- MiaoYin reserves the right to review and remove violating works
- We respect others' intellectual property

- We will handle infringement complaints according to DMCA and relevant laws
- Listing Requirements: Works must be original or have legal authorization
- Pricing: Creators set their own prices
- Commission Rate: Platform commission of 10%-30% based on creator level
- Withdrawal: Withdrawals available after reaching minimum threshold
- License Types:
- Personal Use License: For personal non-commercial use only
- Commercial Use License: Usable in commercial projects
- Exclusive License: Exclusive usage rights (creator stops selling)
- Download Limit: 5 downloads per purchase
- License Verification: Unique authorization code provided after purchase
- Reselling or secondary selling of purchased music
- Sharing download links with others
- Removing or modifying music watermarks
- False work information or fraudulent transactions
You agree not to:
- Violate any laws or regulations
- Infringe others' intellectual property, privacy, or other rights
- Distribute illegal, defamatory, obscene, or harmful content
- Access our systems or networks without authorization
- Interfere with or disrupt normal service operation
- Use automated tools (bots, scripts, etc.) to abuse services
- Reverse engineer, decompile, or crack our software
- Post false or misleading work information
- Manipulate ratings, download counts, or other statistics
- Create multiple accounts for unfair competition
- Malicious reviews or defamation of other creators
- We may modify, suspend, or terminate any service features at any time
- We will provide advance notice of significant changes
- Continued use of services indicates acceptance of changes
We may terminate your account in the following situations:
- Serious or repeated violations of these Terms
- Participation in fraudulent or illegal activities
- Long-term inactivity (over 2 years)
- Legal or government requirements
After termination:
- You will lose access to your account
- Unused credits will expire
- Purchased music licenses remain valid
- Services are provided "as is" without any express or implied warranties
- We do not guarantee uninterrupted, error-free, or completely secure services
- We may suspend services due to maintenance, upgrades, or force majeure
- AI-generated music quality may vary due to various factors
- We do not guarantee AI-generated music meets your specific expectations
- AI models may have biases or limitations
- We use third-party services (AI, payment, storage, etc.)
- We are not responsible for third-party service availability or performance
- Third-party services are subject to their own terms and policies
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability is limited to the amount you paid us in the past 12 months
- Some jurisdictions do not allow liability limitations; these limitations may not apply in such cases
These Terms are governed by the laws of the People's Republic of China.
In case of disputes, parties should first resolve through friendly negotiation.
If negotiation fails, either party may file a lawsuit with a competent People's Court at the service provider's location.
We may update these Terms from time to time. For significant changes, we will:
- Post prominent notices on the platform
- Send notifications to your registered email
- Provide at least 30 days advance notice
Continued use of services indicates acceptance of updated Terms.
These Terms and our Privacy Policy constitute the entire agreement between you and MiaoYin.
If any part of the Terms is deemed invalid, the remaining parts remain valid.
Our failure to exercise or delay in exercising any right does not constitute a waiver of that right.
You may not assign rights or obligations under these Terms. We may assign rights or obligations to affiliates or successors.
